What you can list

VestLoft lists securities you already hold outright, where the company’s documents allow a transfer.

You can list

  • Common or preferred stock held in your name
  • Shares from stock options you’ve already exercised
  • Shares held by your trust, fund, or company
  • Interests in a private fund, with the general partner’s consent

You can’t list

  • Stock options you haven’t exercised, or shares that haven’t vested
  • Anything the company’s documents don’t let you transfer
  • A promise to sell shares you’ll receive later
  • Securities of public companies

What you’ll need

Gather these before you start. The pre-check builds a list for your situation in about two minutes.

How the shares were issued

Your purchase agreement, stock grant, or option exercise notice.

Proof you hold them

A stock certificate, ledger extract, or transfer-agent statement in your name.

The company’s transfer rules

Any right of first refusal, consent, board approval, or legend that applies.

Your resale exemption

The exemption you’re relying on, and documents that support it. You choose it, ideally with your own counsel.

Run the pre-checkNo account needed.

Questions sellers ask

Do I need to be accredited to sell?+

No. Sellers verify their identity. Accreditation is a member requirement, not a seller requirement.

Who sets the price?+

You do. VestLoft provides no valuation or investment advice.

Can VestLoft tell me which exemption applies to my sale?+

No. You identify the resale exemption, with your own counsel if you choose. Approval is not a legal opinion.

What if the company has a right of first refusal?+

Document the restriction and check the company’s notice and consent requirements with your own counsel.

What do you charge if my shares sell?+

Nothing. The only seller fee is the flat, non-refundable listing fee.
